Our Experience

The following is a short summary of some of our key business law cases.

• Negotiated and implemented corporate governance for various corporate and commercial clients.
• Act for chartered banks and other major financial institution in various financing matters involving multi-million dollar transactions. This includes venture capital financing for technology companies, and real estate developments, both commercial and residential.
• Initiated the incorporation of a Nova Scotia unlimited liability company which in turn purchased most of the operating assets of a technology company operating in Arnprior, Ontario. Purchase price approximately $10 million.
• Completed a reverse takeover (RTO) on behalf of a company that owns a number of medical clinics in the National Capital Region.
• Handle various franchise agreements and the related work including incorporations and advice on commercial leases.
• Involved in the settlement with the Trustee for a retail business where the minority shareholders purchased the bankrupt's 51% share of the company.
• Retained by one of the founding members of NAV CANADA to provide legal services in relation to the establishment of NAV CANADA as a corporation without share capital under the Canada Corporations Act. In this capacity, we worked along with legal counsel for the other two principal Members in relation to the preparation of the requisite enabling articles and the negotiation and establishment of the requisite corporate governance.
• Represent a number of Ottawa-Carleton's larger developers. Legal transactions include acquisition, land assembly, development and sale of various condominium, townhouse and mixed use developments.
• Handled the acquisition financing for a major retail land development.
• Negotiated land acquisition, development and financing in relation to multi-million dollar developments of residential care facilities.
